Society Registration in Bangladesh
A society in Bangladesh can be registered by any group of seven or more persons who are associated for literary, scientific, charitable purposes, or other purposes as described in Section 20 of the Society Registration Act. The process involves filing a memorandum of association and related documents with the Registrar of Joint Stock Companies (RJSC).
Required Documents:
- Memorandum of Association:
- Name of the society.
- Objects or goals of the society.
- Names, addresses, and occupations of the governing body members (such as governors, council members, directors, or committee members).
- Certified copy of the society’s rules and regulations, signed by at least three members of the governing body.
Registration Process:
Step 1: Name Clearance
- Apply for Name Clearance:
- Visit www.roc.gov.bd and create a username.
- Apply for name clearance. After applying, you will receive a bank payment slip for BDT 230, which must be paid at the designated bank.
- After payment, log in to the RJSC website to get the name clearance.
- The approved name is reserved for one month, which can be extended by submitting a request before the expiration date.
Step 2: Bank Account Opening (for Foreign Shareholders)
- Open a Bank Account (if applicable):
- Open a bank account in the name of the society with a scheduled bank in Bangladesh.
- Remit the required funds for foreign shareholders into the account from abroad.
- The bank will issue an En-cashment Certificate, which is required for incorporation with RJSC.
Step 3: Society Registration
Submit Registration Information:
- On the RJSC website, submit the necessary information, including uploading Form IX and Subscriber Page.
- Pay the registration fees and stamp duty after receiving the payment slip from RJSC.
- Make the payment at the bank and submit the payment receipt.
Certificate of Incorporation:
- Upon successful review, RJSC will issue:
- Certificate of Incorporation.
- Memorandum of Association (MOA) and Articles of Association (AOA).
- Form XII.
Post-Registration Formalities:
Certificate of Registration of Societies:
- You will receive the Certificate of Registration with the society registration number and name.
Additional Documents:
- Share certificates for each shareholder.
- Register for shareholders, shares, and directors.
- Company common seal and rubber stamp.
Applying for Other Licenses:
- Trade License: After incorporation, secure a commercial space and apply for a Trade License.
- Tax Identification Number (TIN): Obtain a TIN for business operations.
- Other Licenses: Depending on the nature of the society’s activities, additional licenses may be required.
Annual Requirements:
- Annual List of Managing Body: Annually, the list of governing body members must be filed with RJSC on or before 14 days after the annual general meeting or in January if no meeting is held.
Registration of Societies Formed Before the Act:
- Societies registered under Act XLIII of 1850 for literary, scientific, or charitable purposes can be registered under this Act if three-fifths of the members agree at a general meeting.
